1. Acceptance of Terms

By accessing ISS MENA SERVICES’ (“ISS”, “we”, “our”) website, services, or entering into contractual agreements, you agree to comply with these Terms of Use. If you represent a company, you warrant authority to bind said entity.


2. Services Overview

ISS provides:

  • Ship repair, industrial maintenance, and fabrication.

  • Piping, mechanical, electrical, and instrumentation services.

  • Manpower supply and shutdown contracting.

Exclusions: ISS is not liable for pre-existing defects in client equipment unless negligence is proven.


3. Client Obligations

You agree to:

  • Provide accurate technical specifications/drawings.

  • Grant safe site access with 48-hour notice for inspections.

  • Designate a liaison for project coordination.

  • Comply with all ISS HSE policies onsite.


4. Payments & Pricing

  • Deposit: 30% advance payment for materials.

  • Invoicing: Net-14 terms after project completion.

  • Delays: Late payments incur 1.5% monthly interest.

  • Disputes: Must be submitted in writing within 7 days of invoice receipt.


5. Intellectual Property

  • ISS retains rights to designs, methodologies, and software unless custom-developed for client under separate agreement.

  • Client grants ISS a limited license to use their logo/name for project portfolios.


6. Liability & Indemnification

  • Cap: Liability limited to 100% of project fees.

  • Exclusions: ISS is not liable for:

    • Acts of God (e.g., hurricanes, embargoes).

    • Client-provided defective materials.

    • Third-party vendor delays.

  • Indemnity: Client agrees to defend ISS against claims arising from their negligence.


7. Termination

  • By ISS: For safety violations, unpaid invoices (>30 days), or material breach.

  • By Client: With 14-day written notice; deposit non-refundable if work has commenced.

  • Wind-down: ISS will provide deliverables completed up to termination date.


8. Dispute Resolution

  1. Mediation: Mandatory 30-day negotiation period.

  2. Arbitration: Failing mediation, disputes resolved under Bahrain Chamber for Dispute Resolution (BCDR) rules.

  3. Governing Law: Bahraini Commercial Law No. 7 of 1987.


9. Amendments

ISS may update these terms with 30 days’ notice via email or website posting. Continued use constitutes acceptance.
